Description:
Natera is currently looking for an experienced Stock Administration Manager to oversee and manage the daily operations of our employee equity incentive and stock purchase programs. This pivotal role ensures full compliance, smooth execution, and effective communication of all equity-related matters across the organization. You’ll be working cross-functionally with teams including Finance, Legal, and HR, and collaborating with external administrators and brokers.
In this position, you’ll lead the ongoing administration of the company’s equity plans, maintain the integrity of the equity system (Equity Edge/E*TRADE), and ensure the accurate execution of equity transactions. You’ll also support compliance with global tax and regulatory requirements, while assisting in financial reporting and SEC-related documentation such as 10-Qs, 10-Ks, and proxy statements.
Key Responsibilities:
• Manage day-to-day operations of the company’s equity compensation plans, including NQs, ISOs, RSUs, and ESPP
• Ensure accurate administration aligned with plan terms and company policy
• Maintain and audit employee equity data within E*TRADE or other equity platforms
• Interface with the transfer agent for trade settlement and other equity activities
• Respond to employee inquiries regarding stock plans and accounts
• Ensure compliance with U.S. and international tax reporting and withholding
• Perform Black-Scholes valuations monthly or quarterly
• Support close processes by calculating SBC expense and reconciling equity accounts
• Prepare recurring and ad hoc equity reports for Finance, HR, and Legal teams
• Collaborate with Legal on Section 16 filings, insider tracking, and blackout lists
• Assist with creation and auditing of grant agreements
• Contribute to internal equity process improvements and compliance with SOX requirements
Required Skills and Experience:
• At least 8 years of experience in stock administration or compensation within a publicly traded company
• Strong command of Excel and hands-on experience with equity platforms (E*TRADE highly preferred)
• Exceptional analytical and organizational capabilities
• Strong interpersonal and communication skills with an ability to work across all levels
• Familiarity with U.S. and foreign tax laws relating to equity compensation
• Proven ability to manage multiple priorities under tight deadlines
• Experience with SOX compliance and internal controls
• Ability to work independently with strong judgment and initiative
