Description:
Natera is seeking a Senior Stock Administrator to manage and administer the company’s employee equity incentive and employee stock purchase programs (ESPP). The role involves analyzing and communicating equity plan matters, driving improvements, and ensuring compliance with SEC regulations and internal policies. The Senior Stock Administrator works closely with Legal, Finance, and Human Resources and manages relationships with outside brokers. This position reports to the Stock Admin Manager.
Primary Responsibilities:
- Administer day-to-day operations of equity compensation plans, including processing grants, terminations, stock option exercises, RSU releases, and ESPPs
- Ensure equity compensation administration aligns with the terms and conditions of the plans
- Maintain data integrity in the equity database (Equity Edge/E*TRADE)
- Liaise with transfer agents to ensure timely settlement of trades and execution of trading instructions
- Provide excellent customer service to plan participants regarding accounts, vesting schedules, and equity-related inquiries
- Maintain compliance with US and international payroll tax and reporting requirements
- Manage Natera’s equity grant balance “checkbook”
- Assist with month-end close calculations for SBC expense and prepare stock-related data for 10Qs, 10Ks, and proxy statements
- Perform equity account reconciliations and generate recurring and ad hoc reports for Finance, Legal, and HR
- Support SOX controls, maintain supporting documentation, and assist with legal trading blackouts
- Assist with the annual proxy statement preparation and other duties as assigned
Knowledge, Skills, and Abilities:
- Highly proficient in Excel and third-party equity administration software (E*TRADE preferred)
- Strong analytical, organizational, and problem-solving skills
- Effective communicator at all organizational levels
- Detail-oriented team player capable of meeting tight deadlines in a fast-paced environment
- Experience handling US and foreign tax issues related to equity compensation and payroll tax
- Knowledge of SOX compliance
- Ability to work independently, be proactive, and exercise good judgment
Compensation & Total Rewards:
- Base pay: $99,000—$148,000 USD, final package depends on experience, qualifications, and internal equity
