Description:
AW HOLDING INT’L is currently seeking a highly skilled and experienced Senior Legal Counsel to join its professional team in the United Arab Emirates. This full-time position is designed for a senior legal professional who can provide high-level legal support and strategic guidance across a wide range of corporate and regulatory matters.

In this role, you will be responsible for offering expert legal advice on corporate, commercial, civil, and regulatory issues while ensuring full compliance with UAE Federal Laws, Free Zone regulations, and relevant international legal standards. The position requires close collaboration with senior leadership to support business operations, mitigate legal risks, and guide strategic decision-making.

Key Responsibilities Include:

  • Providing authoritative legal counsel on corporate, commercial, civil, and regulatory matters.
  • Drafting, reviewing, and negotiating a wide range of legal documents such as contracts, MOUs, NDAs, service agreements, shareholder agreements, and joint venture agreements.
  • Managing and advising on litigation, arbitration, and dispute resolution matters, including cases involving DIAC, ADGM, and DIFC Courts.
  • Ensuring compliance with UAE laws, Free Zone regulations, AML/CTF requirements, and internal governance frameworks.
  • Advising senior management on legal risks, corporate structuring, and strategic business initiatives.
  • Coordinating with external legal advisors, regulatory bodies, and government authorities.
  • Handling intellectual property matters, licensing requirements, employment-related legal issues, and corporate secretarial responsibilities.

Required Qualifications & Skills:

  • Bachelor’s Degree in Law (LLB); a Master’s Degree is considered a plus.
  • Minimum of 8–12 years of relevant legal experience, preferably within the UAE or GCC region.
  • Strong expertise in corporate, commercial, and regulatory law.
  • Excellent contract drafting and negotiation skills in both English and Arabic.
  • Proven experience working with government authorities and regulatory entities.
  • Solid understanding of cross-border commercial transactions.
  • Ability to work independently, manage multiple complex legal files, and meet deadlines efficiently.
