Job Location – Dubai

Key Responsibilities

  • Serve as the primary point of contact for all board-related matters, ensuring effective communication and coordination among board members, executive leadership, and stakeholders.
  • Manage board meeting logistics, including scheduling, agenda preparation, and distribution of meeting materials, while maintaining accurate records of board minutes and resolutions.
  • Facilitate the implementation of corporate governance best practices, ensuring compliance with applicable regulations and internal policies.
  • Support the board in its fiduciary responsibilities by providing timely and accurate information, facilitating board discussions, and documenting key decisions and actions.
  • Coordinate the annual general meeting and other shareholder-related activities, including the preparation and dissemination of relevant documents and reports.
  • Maintain an up-to-date knowledge of corporate laws, regulations, and governance trends to advise the board on legal and regulatory requirements.
  • Collaborate with the Compliance, Audit, legal, Risk team Central Bank of UAE ADGM & CEO to ensure the company’s compliance with relevant laws and regulations and assist in the preparation and filing of regulatory documents.
  • Manage board member onboarding and orientation programs, ensuring new members are familiarized with their roles, responsibilities, and governance practices.
  • Safeguard the confidentiality of sensitive board information and maintain the security and integrity of board records and documents.
  • Continuously strive for process improvement, implement efficient board administration practices, and contribute to the overall effectiveness and transparency of the organization’s governance structure.
  • Bachelor’s degree in Law from a recognized university. Hawkamah Cert from the Institute of Governance is a plus.

Skills and Competencies:

  • Proficient in English and Arabic with excellent written and oral communication skills.
  • Demonstrated ability to cultivate strong professional relationships with senior management, board members, regulatory authorities, and government entities within the UAE, ensuring compliance and fostering positive engagement.

Experience:

  • 5 to 10 years of experience in the Insurance, Banking, or Financial Institutions sector in the UAE.
  • Hands-on experience communicating with regulatory authorities such as DFM, SCA, CBUAE, DED, etc.

Preferred Qualifications:

  • Preference will be given to candidates with a legal background and relevant experience.
